01.Acceptance of Terms
By accessing or using the B4Ucommerce platform and website, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use our services.
02.Services Description
B4Ucommerce provides enterprise ERP integration, ecommerce development, AI automation, and related professional services. The specific services, deliverables, timelines, and fees will be outlined in individual service agreements or statements of work executed between B4Ucommerce and the client.
03.Intellectual Property
The B4Ucommerce platform, website, and all associated intellectual property rights remain the exclusive property of B4Ucommerce. Custom work products created specifically for a client pursuant to a written agreement will be governed by the intellectual property provisions of that agreement. You may not copy, modify, or distribute our platform without written consent.
04.Confidentiality
Both parties agree to treat all non-public information shared during the course of engagement as confidential. B4Ucommerce will not disclose client data, systems architecture, or business information to third parties except as required to deliver services or comply with law.
05.Service Level Agreements
Uptime guarantees, response times, and performance metrics for production integration systems will be specified in individual service agreements. Our standard enterprise SLA guarantees 99.9% platform uptime on a monthly basis, measured against actual availability.
06.Limitation of Liability
To the maximum extent permitted by applicable law, B4Ucommerce shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising out of or related to these terms will not exceed the amounts paid by you in the 12 months preceding the claim.
07.Termination
Either party may terminate services upon written notice as specified in the applicable service agreement. B4Ucommerce reserves the right to suspend or terminate access to our platform immediately if a client violates these terms or engages in prohibited activities.
08.Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in New York, NY.
09.Changes to Terms
We reserve the right to modify these terms at any time. We will notify registered clients of material changes via email. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised terms.
